Terms of Service

The terms on this webpage govern the access and use of HealthConnex and related cloud‐based services and are incorporated by reference into any subscription service agreement signed by the customer. By signing an agreement, the customer acknowledges and agrees to these terms, which may include the Subscription Subscription Agreement (SSA), the Business Associate Agreement (BAA), relevant product-specific addenda, and any applicable amendments. These terms may be updated periodically, and customers are encouraged to review this page from time to time to stay informed of any changes. Customer continued access to, or use of, HealthConnex services following any updates to the applicable terms shall constitute acceptance of the revised terms.

Subscription Agreement

The SSA governs the terms under which customers access and use of HealthConnex and related cloud‐based services. It outlines key provisions, including but not limited to the scope of subscription services, payment terms, intellectual property rights, service levels, data security, confidentiality, indemnification, and liability limitations. The SSA provides a standardized framework of terms for ongoing engagements, ensuring clarity and consistency while allowing for flexibility through separate subscription services and/or statements of work. The applicable SSA will be specified in your agreement. By accepting the SSA, customers agree to the rights and responsibilities that enable seamless and secure use of HealthConnex software solutions.

Addenda and Amendments to the SSA

Product-specific addenda and amendments supplement the SSA by establishing terms specific to certain products, services, or regulatory requirements. These documents modify or expand the SSA to address product-specific features, pricing adjustments, compliance obligations, and additional service commitments. They ensure that customers receive tailored terms relevant to their selected products while maintaining the overarching framework of the SSA. The applicable addenda or amendments will be specified in your agreement. By accepting these provisions, customers agree to the customized terms applicable to their selected products or services.

Business Associate Agreement

The BAA governs the handling of Protected Health Information (PHI) by HealthConnex in its role as a Business Associate when providing services to customers classified as Covered Entities under the Health Insurance Portability and Accountability Act (HIPAA). It ensures compliance with HIPAA regulations by defining permissible uses and disclosures of PHI, establishing security requirements, and outlining breach notification obligations. The BAA serves to protect patient privacy and address regulatory obligations associated with the exchange of PHI between organizations. This agreement applies exclusively to U.S.-based customers that meet HIPAA's definition of a Covered Entity.
